1. Who XtraDrivers Is For

XtraDrivers is designed for FedEx Independent Service Providers (“ISPs”) who want to share drivers between their operations. When we use the term “you” in these Terms, we refer to the ISP entity and any authorized representatives acting on its behalf.

2. Account Registration

To use XtraDrivers, you must:

• Register a company account with accurate and complete information.
• Be a FedEx ISP or an authorized representative of a FedEx ISP.
• Keep your login credentials secure and confidential.

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly.

3. Nature of the Service

XtraDrivers is a coordination platform that allows ISPs to:

• Add and manage their own drivers in the system.
• Mark driver availability for specific dates.
• Search for available drivers from other ISPs.
• Send, receive, approve, or reject driver-sharing requests.

XtraDrivers does not employ drivers, does not act as a staffing agency, and does not participate in any employment relationship between you, other ISPs, and any drivers.

4. Relationship Between ISPs and Drivers

Any relationship between an ISP and a driver, including hiring, payment, compliance, and termination, is solely between that ISP and the driver. When drivers are shared between ISPs:

• Each ISP is responsible for ensuring that drivers meet any FedEx requirements.
• Any agreements on pay, invoicing, or reimbursement are made directly between ISPs.
• XtraDrivers is not a party to those agreements and does not mediate disputes.

5. Fees and Payments

XtraDrivers may charge a fee per transaction when a driver share is successfully confirmed. The current fee structure may be communicated on our website or directly to you.

By using the Service, you agree to pay any applicable fees and authorize XtraDrivers to charge you through the payment method you provide. Fees are non-refundable unless otherwise stated.

6. Your Responsibilities

You agree to:

• Use the Service only for lawful purposes and in compliance with these Terms.
• Provide accurate information about your drivers and their availability.
• Respect confidentiality and not misuse information about other ISPs or drivers.
• Comply with all applicable laws, regulations, and contractual obligations with FedEx.

7. Prohibited Uses

You may not use XtraDrivers to:

• Misrepresent your identity, your company, or your drivers.
• Harvest, scrape, or misuse data for purposes other than legitimate driver sharing.
• Send spam, abusive requests, or harass other ISPs or drivers.
• Reverse engineer, interfere with, or attempt to gain unauthorized access to the Service.

8. Data and Privacy

Our use of your data is governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described there.

You are responsible for ensuring that you have the necessary rights and legal basis to share driver information with XtraDrivers and other ISPs through the platform.

9. Service Availability and Modifications

We aim to keep XtraDrivers available and functioning reliably, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service at any time, with or without notice.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, XtraDrivers disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, XtraDrivers will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service.

In no event will XtraDrivers’ total liability for all claims relating to the Service exceed the amount you paid to us (if any) for the Service in the twelve (12) months prior to the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless XtraDrivers, its owners, and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of:

• Your use of the Service.
• Your violation of these Terms.
• Any dispute between you and another ISP or a driver.

13. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms or used the Service in a way that could cause harm to XtraDrivers, other ISPs, or drivers.

You may stop using the Service at any time. Provisions that by their nature should survive termination (such as limitations of liability, indemnification, and governing law) will continue to apply.

14. Governing Law and Dispute Resolution

These Terms will be governed by and interpreted in accordance with the laws applicable to the entity operating XtraDrivers, without regard to conflict-of-law principles.

Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in the relevant jurisdiction, unless otherwise required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you through the Service or by email.

Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms.
